By accessing or using the Fried Ocean website, newsletters, email communications, mobile applications, social media pages, merchandise, or any related products or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Services.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
3. Nature of Content
Fried Ocean publishes satire, parody, opinion, fictional content, and other forms of creative expression.
Unless expressly stated otherwise, content should not be interpreted as factual news or statements of actual events. Any resemblance to real persons, organizations, businesses, products, or events may be coincidental, humorous, satirical, or otherwise fictionalized.
Content is provided solely for entertainment and informational purposes and should not be relied upon for legal, financial, medical, investment, or other professional advice.
4. Modification of Services
We may modify, suspend, discontinue, restrict, remove, or replace any portion of the Services at any time, with or without notice and without liability.
We may introduce new features, subscriptions, memberships, paid services, advertisements, sponsorships, or other commercial offerings at our sole discretion.
5. User Conduct
You agree not to:
- Violate any applicable law.
- Infringe the intellectual property or other rights of another person or entity.
- Upload malware or malicious code.
- Attempt to interfere with the operation, security, or availability of the Services.
- Access the Services through unauthorized automated means.
- Circumvent security measures or access controls.
We may investigate suspected violations and suspend or terminate access at our sole discretion.
6. User Content License
If you submit, upload, email, comment, message, or otherwise provide any content to us, including suggestions, ideas, submissions, feedback, photographs, videos, recordings, text, or other materials (“User Content”), you grant us a worldwide, perpetual, irrevocable, fully paid, royalty-free, transferable, assignable, sublicensable license to:
- use;
- reproduce;
- publish;
- distribute;
- display;
- perform;
- modify;
- adapt;
- translate;
- create derivative works;
- archive;
- commercialize; and
- otherwise exploit
your User Content in any media or technology now known or later developed, for any purpose, including editorial, advertising, marketing, merchandising, promotional activities, analytics, artificial intelligence and machine learning development, model training, and other commercial purposes.
You represent and warrant that you possess all rights necessary to grant this license.
To the fullest extent permitted by law, you waive any moral rights or similar rights in your User Content.
7. Intellectual Property
Except for User Content, all content available through the Services—including articles, newsletters, graphics, logos, trademarks, branding, software, code, designs, images, videos, audio, databases, compilations, and other materials—is owned by or licensed to the Company and is protected by applicable intellectual property laws.
No rights are granted except as expressly provided in these Terms.
8. Communications
By providing your email address or other contact information, you consent, to the extent permitted by applicable law, to receive newsletters, promotional emails, surveys, product announcements, offers, sponsorship messages, event invitations, and other communications from us, our affiliates, successors, brands, partners, and service providers.
You may unsubscribe from marketing communications at any time using the unsubscribe mechanism provided in those communications. Administrative, legal, transactional, security, and account-related communications may continue as permitted by law.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

The Services may contain links to third-party websites, products, services, advertisers, sponsors, or other resources.
We do not control or endorse third-party content and are not responsible for their products, services, content, policies, or practices.
Some links may be affiliate links or other compensated relationships. We may receive commissions or other compensation if you purchase products or services through those links.
Our merchandise store located at shop.friedocean.com is operated through Shopify and is governed by separate terms and policies.
11. Copyright Policy (DMCA)
If you believe material on the Services infringes your copyright, contact:

We reserve the right to remove allegedly infringing material and terminate repeat infringers.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- $100 USD; or
- THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, licensors, successors, assigns, and agents from any claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of applicable law or the rights of any third party.
15. Termination
We may suspend, restrict, or terminate your access to the Services at any time, for any reason or no reason, with or without notice.
Termination does not limit any rights or remedies otherwise available to us.
16. Arbitration and Governing Law
Except where prohibited by law, all disputes arising out of or relating to these Terms or the Services shall be resolved exclusively through binding individual arbitration.
You waive the right to participate in any class action, representative action, class arbitration, or jury trial to the fullest extent permitted by law.
Opt-Out
You may opt out of arbitration by emailing hello@friedocean.com within:
- 30 days after your first use of the Services; or
- 30 days after publication of revised Terms that first introduce arbitration.
If you validly opt out, disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
17. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, pandemics, war, terrorism, civil unrest, utility failures, or failures of third-party providers.
18. Assignment
We may assign, transfer, delegate, sublicense, license, sell, or otherwise convey these Terms, the Services, our business, our assets, customer relationships, subscriber lists, email lists, customer lists, user accounts, audience data, analytics, goodwill, intellectual property, and any associated rights or obligations, with or without notice, to any affiliate, successor, purchaser, investor, lender, financing source, or other third party, subject to applicable law.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may revise these Terms at any time by posting an updated version on the Services.
The “Last Updated” date indicates the effective date of the most recent revision.
Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms, except where applicable law requires additional notice or consent.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements, representations, or understandings relating to the Services.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision shall not constitute a waiver of that provision or of any other provision.
